Website Terms of Use

These Terms of Use ("Terms") govern your access to and use of the websites operated by Vannadium, Inc. ("Vannadium," "we," "us," or "our"), including the information and materials available through them (collectively, the "Site"). By using the Site, you agree to these Terms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Use of the Site

The Site is provided primarily for business and informational purposes. You may use the Site only for lawful purposes and may not interfere with its operation or security, attempt unauthorized access to the Site or related systems, introduce malicious code, or use the Site in a manner that infringes the rights of Vannadium or any third party.

You may not use automated means to scrape, data mine, extract, or collect content from the Site, including for purposes of training, developing, fine-tuning, or improving artificial intelligence or machine learning models, except as expressly authorized by Vannadium.

2. Vannadium Products & Services

The Site may contain information regarding Vannadium's software, technology, products, features, and services (collectively, the "Vannadium Services").

Information on the Site regarding Vannadium Services, including descriptions of features, functionality, performance, security, availability, roadmaps, or future capabilities, is provided for general informational purposes and does not constitute a warranty, representation, service level, or other contractual commitment. Any binding commitments regarding Vannadium Services are set forth solely in the applicable written agreement between Vannadium and the customer.

The purchase, subscription, implementation, and use of any Vannadium Service are governed by the applicable customer agreement. If these Terms conflict with a customer agreement concerning a Vannadium Service, the customer agreement will control.

3. Intellectual Property

The Site and its content, including Vannadium's names, trademarks, logos, software, technology descriptions, text, graphics, documentation, and other materials, are owned by or licensed to Vannadium and protected by applicable intellectual property laws.

Vannadium grants you a limited, revocable, non-exclusive right to use the Site for your internal business and informational purposes. You may not reproduce, modify, distribute, license, sell, create derivative works from, or otherwise commercially exploit the Site or its content without our prior written permission.

If you voluntarily provide suggestions, ideas, or other feedback regarding Vannadium's products or services, Vannadium may use such feedback without restriction or obligation to you.

4. Privacy & Third Party Services

Our collection and use of personal information through the Site are described in our Privacy Policy.

The Site may contain links to third-party websites or services. Vannadium does not control and is not responsible for the content, security, availability, or privacy practices of third parties.

5. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANNADIUM DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Vannadium does not warrant that the Site will be uninterrupted, error-free, or secure, or that information available through the Site will always be complete, accurate, or current.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANNADIUM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL ARISING FROM OR RELATING TO YOUR USE OF THE SITE.

VANNADIUM'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

7. Changes to the Site and These Terms

Vannadium may modify or discontinue any portion of the Site and may update these Terms from time to time. Updated Terms will be effective when posted unless otherwise stated. Your continued use of the Site following an update constitutes acceptance of the revised Terms.

8. Governing Law and Miscellaneous

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect. Vannadium's failure to enforce any provision will not constitute a waiver of its rights.

These Terms and the Privacy Policy constitute the agreement governing your use of the Site. They do not modify or supersede any separate written agreement between Vannadium and a customer or business partner.
